The Small Business Administration’s updated SOP 50 10 8.1 took effect on October 1, 2026 for its 7(a) and 504 loan programs. For buyers considering an acquisition, one important change to understand is the financial due-diligence requirement for certain 7(a) changes of ownership. The details can depend on transaction type and how the purchase price is defined, so use the questions below to start a conversation with your lender—not as legal or financing advice.
When does the SOP require a lender QoE?
Under Appendix 15 of the current SOP, a lender must obtain a Quality of Earnings (QoE) in addition to the required business valuation for Initial Acquisition and Business Expansion transactions when the defined Business Purchase Price is $3 million or more. The threshold is measured before buyer equity, seller debt, or other financing sources are applied. The SOP defines Business Purchase Price for this purpose as the price set by the purchase and sale agreement, less the appraised value of owner-occupied commercial real estate assets acquired in the transaction.
Owner Buyout and ESOP & Cooperative transactions are not subject to this particular QoE requirement. Financial due diligence is required for all change-of-ownership transactions, and other applicable requirements still apply. A lender should confirm how the transaction is classified and which requirements govern its specific structure.
The required QoE must be independent, prepared by an experienced financial professional for the lender’s benefit, and include a Cash Proof. The SOP describes the Cash Proof as a reconciliation of bank-statement data to income statements and tax returns, covering the trailing 12 months and the last two fiscal years; if the business has operated for less than two years, the scope may be reduced accordingly. The lender must use the QoE earnings in its debt-service-coverage determination and retain the report in the credit file.
